SimpleSwap’s Trading Contest Terms

The sponsor of the Contest is SimpleSwap Ltd ( “SimpleSwap”).

SimpleSwap will conduct the Contest as described in these Rules.

1. 1. Agreement

   • 1.1. By participating in the Contest, the Entrant (hereafter also “you”) certifies that they fully understand and unconditionally agree to this Contest terms and conditions (“Contest Terms”) which constitute a binding agreement between you and us, agrees to abide by applicable laws and regulations, these Contest Terms, SimpleSwap Terms of Service (https://simpleswap.io/terms-of-service), Privacy Policy (https://simpleswap.io/privacy-policy), AML/KYC Policy (https://simpleswap.io/aml-kyc), which you acknowledge to be fully and unconditionally binding in all respects.
   • 1.2. If you do not agree with the Contest Terms in full or in part or if you do not understand it, please do not participate in the Campaign until you clarify your doubts and can agree in full.

2. 2. Entry Period

   • 2.1. The Contest begins on May 28, 2024, at 12 p.m. UTC and ends on June 11, 2024, at 6 p.m. UTC (“Entry Period”).
   • 2.2. Only Entries and trade orders received within the specified Entry Period are counted for the purpose of the Contest.

3. 3. Eligibility

   • 3.1. SimpleSwap’s Trading Contest (“Contest”) is open to Entrants of legal age of majority in their jurisdiction as of the date of their Entry into the Contest.
   • 3.2. SimpleSwap’s employees, subsidiaries, affiliates, suppliers, partners, and directors (collectively “Employees”), as well as members of Employees immediate family and/or those living in the same household as the Employees are not eligible to participate in the Contest.

4. 4. Contest Terms

   • 4.1. Eligible Entrants can enter the Contest (hereafter “Entry”) by:
     • creating the SimpleSwap customer account, and
     • submitting an entry by pressing the “Join the contest” button on the Contest page www.simpleswap.io/trading-contest or in SimpleSwap customer account, and
     • submitting trade order(s) to buy or sell any cryptocurrency on www.simpleswap.io using SimpleSwap customer account during the Entry Period.
   • 4.2. The data on Entrants’ exchange volumes will be displayed on the leaderboard, accessible at www.simpleswap.io/trading-contest , until June 11, 2024, at 6 p.m. UTC.
   • 4.3. After entering the Contest, you will be assigned an automatically created Contest alias. Contest alias is only shown on the Leaderboard and does not constitute your Personal Data. This alias can be found in your Customer Account.
   • 4.4. Only executed trade orders (confirmed electronically by SimpleSwap) that occur during the Entry Period will contribute to an Entrant’s exchange volume. Canceled, suspended or refunded trade orders will not count towards the Entrant’s exchange volume.

5. 5. Prizes

   • 5.1. Total number of Winners - 30 (thirty) users
     • 10 (ten) winners of the Contest are awarded with a prize allocated according to the place in the leaderboard:

   • • 20 (twenty) winners selected by randomizer technology will be awarded with a prize of $50.
   • 5.2. Prizes will be calculated in USDT and credited to the winner's wallet. SimpleSwap is responsible for the network transaction and/or service fee applied while transferring the prize.
   • 5.3. No cash or other prize substitution is permitted. The winner shall not transfer the assignment of the prize to others nor shall the winner request a cash equivalent or prize substitution.
   • 5.4. The winner, upon acceptance of the prize, is solely responsible for all expenses related to the prize. The winner is solely responsible to determine what, if any, taxes apply to your participation in the Contest, and it is your responsibility to report and remit the correct tax to the appropriate tax authority. You agree that SimpleSwap is not responsible for determining whether taxes apply to your transfers or for collecting, reporting, withholding or remitting any taxes arising from any trades and transfers and does not act as your tax agent.

6. 6. Selection and Determination of the winners; Notification

   • 6.1. Winners will be determined on June 11, 2024, at 6 p.m. UTC, once the data on the leaderboard is final, based on the highest accumulated exchange volumes during the Entry Period.
   • 6.2. Winners will be announced on SimpleSwap’s social media accounts in X (https://twitter.com/SimpleSwap_io) and Discord (3D3JwTnsk5).
   • 6.3. Winners will be notified by email within three (3) business days following the selection/determination. Upon such notification, the winner shall provide SimpleSwap with their wallet address as well as reasonable proof that such wallet belongs to them. Upon receipt of this information SimpleSwap will proceed with the pay-outs within the following five (5) business days
   • 6.4. SimpleSwap may request additional information from the winner to award the prize. The Winner agrees to provide SimpleSwap with the requested information before the prize can be awarded.
   • 6.5. SimpleSwap shall have no liability for winner’s failure to receive notices due to spam, junk e-mail, or other settings or for winner’s provision of incorrect or otherwise non-functioning contact information.
   • 6.6. SimpleSwap is not responsible for nor shall have any liability for winner’s failure to provide a correct and functioning wallet number, as well as for any actions of the wallet service provider.
   • 6.7. If a winner cannot be contacted, is ineligible, or otherwise fails to comply with provisions of these Rules, fails to claim the prize within ten (10) days from the time award notification was sent, or fails to timely provide information required for the award payout, the prize may be forfeited and an alternate winner selected.
   • 6.8. ANY VIOLATION OF THESE RULES BY A WINNER (AT SIMPLESWAP’S SOLE DISCRETION) WILL RESULT IN WINNER’S DISQUALIFICATION, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

7. 7. Special Terms & Conditions

   • 7.1. In its sole discretion, SimpleSwap reserves the right to modify, suspend, cancel, or terminate the Contest due to a non-authorised human intervention, a bug or virus, illicit activities, or other causes beyond SimpleSwap’s control that impact or corrupt the security, integrity, fairness, proper conduct, or administration of the Contest.
   • 7.2. In its sole discretion, SimpleSwap reserves the right to disqualify and/or terminate User account(s) of an Entrant without any prior justification or warning upon discovery that respective Entrant is engaged in illicit behavior, illegal activity, tampers or attempts to tamper with the operation of the Contest and/or violates these Rules, SimpleSwap’s Terms of Service, applicable laws and regulations.
   • 7.3. Entrants are expected to conduct in a respectful and lawful manner during the Contest. SimpleSwap reserves the right to disqualify any Entrant found to be engaging in any form of harassment, cheating, or unsportsmanlike conduct.
   • 7.4. SimpleSwap has zero-tolerance policy against Entrants who manipulate or abuse SimpleSwap, the Contest or its Rules. Entrants are explicitly prohibited to violate any applicable law, including data transfer, data privacy, data security laws, anti-financial crime and financial sanctions laws and regulations, or securities laws or encourage fraudulent or deceptive behaviour to manipulate SimpleSwap, the Contest or these Rules.

8. 8. Limitation of Liability

   • 8.1. Your participation in this Contest and any associated activities is at your sole risk. SimpleSwap and its subsidiaries, affiliates, officers, and directors, as well as their employees, shareholders, agents, and other representatives ("Released Parties"), shall not be held liable for any claims, demands, or causes of action arising out of or in connection with your participation in the Contest or any related activities, including, but not limited to:
     • technical errors such as lost, interrupted, or unavailable network, server, or other connections, availability or accessibility issues, miscommunications, or failed computer hardware or software;
     • unauthorised human intervention in the Contest;
     • mechanical, network, electronic, computer, human, printing, or typographical errors;
     • any other errors or problems in connection with the Contest, including, without limitation, errors that may occur in the administration of the Contest, the announcement of the winners, or in any Contest-related materials; or
     • injury, death, losses, or damages of any kind, to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrants’ participation in the Contest or acceptance, receipt, or misuse of the prize (including any travel or activity related thereto).
   • 8.2. The Released Parties’ liability will be limited to your direct costs incurred in participating in the Contest, and under no circumstances will you be entitled to recover solicitors’ fees or other legal costs.
   • 8.3. To the fullest extent permitted by applicable law, SimpleSwap shall not incur liability for any indirect, special, incidental, consequential, punitive, or exemplary damages, including, without limitation, lost profits, anticipated savings, data, business opportunity, or goodwill, whether such liability arises from contract, tort (including negligence), breach of statutory duty, or otherwise in connection with the Contest.
   • 8.4. Any clause in these Rules that implies a limitation of liability, disclaimer of warranties, or exclusion of damages is intended to be applied to the maximum extent permitted by law. If any such clause is deemed unenforceable, it shall be stricken from the Rules, and the remaining provisions shall continue in effect to the maximum extent permissible by law.

9. 9. Disputes

   • 9.1. As a condition of participating in this Contest, you agree that any and all disputes that cannot be resolved between you and SimpleSwap, and all causes of action arising out of or connected with this Contest, shall be resolved individually, without resort to any form of class action, exclusively by SimpleSwap. By entering the Contest, you hereby waive all rights to claim punitive, incidental, or consequential damages, or any other damages, including attorneys’ fees, other than your actual out-of-pocket expenses (i.e., costs associated with entering this Contest), and you further waive all rights to have damages multiplied or increased. You acknowledge that SimpleSwap’s decision is final and binding and that no external arbitration or judicial process is available to you.
   • 9.2. You expressly waive any right to bring a dispute in any jurisdiction worldwide. You understand that SimpleSwap has the sole right to determine the outcome of any dispute arising from or related to the Contest and that its decision is final and conclusive.

10. 10. Privacy

    • 10.1 Any Personal Data, submitted by an Entrant in addition to the Personal Data previously submitted by such an Entrant to SimpleSwap during their use of the Services, is subject to SimpleSwap’s Privacy Policy (available at https://simpleswap.io/privacy-policy).
    • 10.2. For the purpose of performing the Contest we additionally will:
      • Send you informational emails regarding the Contest;
      • Post the winners of the Contest;
      • Collect your wallet address to deliver you the prize.
    • 10.3. By accepting the prize, the winner grants SimpleSwap with a permission to use the winner's likeness, and name for purposes of advertising and trade without further compensation.
