GENERAL TERMS OF SIDE PROJECT SERVICES

These Terms of Side Projects came into force on the 7th of September 2026.

These General Terms of Side Project Servises ("Terms of SPS") apply to your (“user”, “you”, “Party”, “yours”) use of the Side Project Services via a desktop and also as a mobile app for iOS and Android (together the “Platform”, the “Service”) provided by SimpleSwap (“SimpleSwap”, “us”, “we”, “Party”).

“Side Project Services” mean the services made available to you through our Platform that do not involve cryptocurrency exchange or fiat-to-cryptocurrency exchange transactions. The scope, features, and list of Side Project Services may be modified, expanded, restricted, suspended, or discontinued by us at our sole discretion from time to time.

By using our Side Project Services, you are entering into a legally binding agreement with us. These Terms of SPS outline your rights and obligations when accessing and using our Side Project Services. By using our Side Project Services, you confirm that you have read, understood, and accepted these Terms of SPS.

If you disagree with any part of the Terms of SPS, we kindly ask you to refrain from using our Side Project Services. We are here to provide a transparent and trustworthy service experience, and we value your understanding and cooperation in this regard.

We encourage you to thoroughly review these Terms of SPS to ensure you understand the terms and conditions that apply to your access to, and use of the Side Project Services. If you have any questions, please contact our Support Service at support@simpleswap.io.

SIDE PROJECT SERVICES AVAILABILITY

We do not guarantee that Side Project Services, or any content on them, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of Side Project Services for business and operational reasons.

Certain Side Project Services may be subject to geographic or other eligibility restrictions. The applicable list of restricted persons and restricted locations, as well as any additional access or eligibility requirements, shall be set out in the terms applicable to the relevant Side Project Services.

INFORMATION SECURITY

If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.

We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms of SPS.

We do not guarantee that our Platform will be secure or free from bugs or viruses. You are responsible for configuring your information technology, computer programs and platform to access our Platform. You should use your own virus protection software.

If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us at support@simpleswap.io.

THIRD-PARTY SERVICE PROVIDERS

“Third-party service provider” refers to any platform or network engaged in Side Project Services provision, as well as any website or platform which we redirect you to; and this platform or website is maintained by a third party. In particular, in relation to the Prediction Market Side Project, the relevant Third-Party Service Provider is Adventure One QSS Inc., which operates and administers Polymarket.

SimpleSwap is not responsible for the use of such third-party service providers’ and claims no responsibility for the content, privacy procedures and policies, or practices of any third-party websites or services.

Any business dealings or correspondence with third parties are solely between you and those third parties. You acknowledge and agree that SimpleSwap will not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any content, materials, information or services available on or through any third-party websites or services.

You further acknowledge and agree that such third-party service providers may impose additional fees. SimpleSwap will not be responsible for any third-party services' fees. You are solely responsible for your use of the third-party services, and you agree to comply with all terms and conditions applicable to any third-party services.

INTELLECTUAL PROPERTY RIGHTS

All content included in or made available through the Platform or any related content materials and information such as text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, and software (“Our Content”) is the property of SimpleSwap or its content providers and protected by international copyright and intellectual property law.

SimpleSwap hereby grants you a limited, non-exclusive, non-transferable licence, subject to these Terms of SPS, to access and use the Services, the Platform, and Our Content solely for approved purposes as permitted by us from time to time. Any other use of the Services, the Platform or Our Content is expressly prohibited and all other right, title, and interest in the Platform or Content is exclusively the property of SimpleSwap and its licensors. The licence granted under this Section will automatically terminate if you stop using our Service or we suspend or terminate your access to the Service.

You agree not to copy, transmit, distribute, sell, licence, reverse engineer, modify, publish, or participate in the transfer or sale of, create derivative works from, or in any other way exploit any of the Content, in whole or in part.

In case you create content directly on our Platform, as well as upload or share any feedback, suggestion, idea or other information or material ("Your Content") with us you automatically grant us a worldwide licence to use your content for marketing or any other purposes at our sole discretion. We will consider Your Content to be non-confidential and not protected by any trade mark, patent or copyright ("non-proprietary"), that is, in the public domain. We shall have the right at our sole and absolute discretion to remove, modify or reject any content that you submit to, post or display on the Platform for any reason. In addition, when you upload or post Your Content, you grant a worldwide, non-exclusive, royalty-free, transferable licence for other users, partners or advertisers to use the content in accordance with the functionality of Side Project Services to expire when the user deletes the content from our site. We reserve the right to take any actions as we deem appropriate at our sole discretion, including giving a written warning to you, removing any of Your Content, recovering damages or other monetary compensation from you, suspending or terminating your account (if any), or suspending your access to the Side Project Services.

CONTENT OF THE SIDE PROJECT SERVICES

Side Project Services may include information and materials uploaded by other users. This information and these materials have not been verified or approved by us. The views expressed by other users do not represent our views or values.

You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content of the Side Project Services.

Although we make reasonable efforts to update the information, we make no representations, warranties or guarantees, whether express or implied, that the content of the Side Project Services is accurate, complete or up to date.

While using our Side Project Services, you may encounter third-party content ("Third-Party Content"). We do not control, endorse, or adopt any Third-Party Content (unless expressly stated by us) and are not responsible for it, including material that may be misleading, incomplete, erroneous, offensive, indecent, or otherwise objectionable. You understand that your use of Third-Party Content and interactions with third parties are at your own risk.

Where Side Project Services contain links to other sites and resources provided by third parties, such links should not be interpreted as approval by us of those linked websites or information you may obtain from them. We have no control over the contents of those sites or resources.

DISCLAIMERS

Except as expressly set forth, the Side Project Services, the Platform, their components, any documentation, and any other materials provided by SimpleSwap hereunder are provided “as is” and “as available,” and neither SimpleSwap nor any of its affiliates, business partners, contractors, licensors, content providers (not including user), service providers, shareholders, employees, personnel, officers, directors, agents, or other representatives (collectively, “Representatives”) make any representations or warranties as to the results to be obtained from use of the Service.

To the maximum extent permitted by applicable laws and regulations, we specifically disclaim any warranties, either express or implied, including but not limited to uninterrupted or continuous availability of Side Project Services, implied warranties of title, merchantability, fitness for a particular purpose, and/or non-infringement as to our Service, including the information, content, and materials contained therein.

SimpleSwap does not make any representations or warranties:

• That access to the Platform, any part of the Side Project Services, or any of the materials contained therein will be continuous, uninterrupted, timely, or error-free;
• That there are no viruses or other harmful components on the Platform;
• That the Platform is completely secure or invulnerable to cyberattacks; or
• That the Platform will be completely safe from all forms of unauthorised access, manipulation, or interference.

SimpleSwap shall not be liable for any damage or interruptions caused by any computer viruses, spyware, scareware, Trojan horses, worms, or other malware that may affect your computer or other equipment, or any phishing, spoofing, or other attack.

We advise the regular use of a reputable and readily available virus screening and prevention software. You should also be aware that SMS and email services are vulnerable to spoofing and phishing attacks and should use care in reviewing messages purporting to originate from us. You are solely responsible for all login credentials, including usernames and passwords and must keep security details safe at all times.

LIABILITY

Liability of SimpleSwap and its Representatives to you or any third parties in any circumstance is limited to the actual amount of loss or damage which is caused directly and is reasonably foreseeable by our breach of these Terms of SPS, and shall in no event exceed the amount of fees paid by you to SPS in the 3 (three) months preceding the event giving rise to the loss. Such sum shall be paid by us to you in full and final settlement and satisfaction of ours and any our Representatives’ entire liability for any and all losses and claims, howsoever arising, from the relevant breach. You acknowledge and agree that neither SimpleSwap or its Representatives is aware of any special circumstances pertaining to you, and that damages are an adequate remedy and that you shall not be entitled to any other claims or remedies at law or in equity, including but not limited to, any claim in rem, injunction, and/or specific performance.

In no event shall SimpleSwap or its Representatives be liable for any direct, indirect, consequential or special damages, or any other damages of any kind, including, but not limited to, any loss of use, loss of profits or loss of data, whether in an action in contract, tort (including but not limited to negligence) or otherwise, arising out of or in any way connected with the use of or inability to use our Service, including without limitation any damages caused by or resulting from:

• Any action or inaction in accordance with these Terms of SPS, user’s omissions or breaches of these Terms of SPS;
• Any failure of performance, whether or not resulting from a force majeure event, communications failure;
• The theft, destruction or unauthorised access to a device enabled to access and use Side Project Services;
• Inability to contact using the contact information you provided;
• Acting upon your instruction or in accordance with your approval;
• Any loss of, or damage to, reputation or goodwill; any loss of business or opportunity, customers or contracts; any loss or waste of overheads, management or other staff time; or any other loss of revenue or actual or anticipated savings, whether direct or indirect;
• Any loss of use of hardware, software or data and / or any corruption of data;
• Any loss or damage whatsoever which does not arise directly as a result of our breach of these Terms of SPS (whether or not you are able to prove such loss or damage).

INDEMNIFICATION

You agree to indemnify and hold harmless SimpleSwap and its and Representatives from any claims, damages, obligations, losses, liabilities, actions, demands, disputes, allegations, any costs (including attorneys' fees and any fines, fees or penalties imposed by any regulatory authority), damages (actual and consequential), losses (including any direct, indirect or consequential losses, loss of profit, loss of reputation), costs, and expenses, including without limitation all interest, penalties and legal and other reasonable attorneys’ fees and other professional costs and expenses (“Losses”), arising out of or in any way connected with:

• your use of the Service hereunder;
• your breach or alleged breach of these Terms of SPS;
• your breach of any warranties and representation made to SimpleSwap;
• Any third-party claim related to your use of the Service;
• your failure to comply with any applicable law.

We reserve the right to take control of the defence of any third-party claim that is subject to indemnification by you, in which event you shall cooperate as fully required by us in asserting any available defences. you will not settle any claims or Losses without our prior written consent.

MISCELLANEOUS PROVISIONS

Neither Party may assign or otherwise transfer any of its rights or obligations under these Terms of SPS without the prior, written consent of the other Party; provided, however, that a Party may, upon written notice to the other Party and without the consent of the other Party, assign or otherwise transfer these Terms of SPS in connection with a change of corporate control (whether by merger, acquisition, sale of equity interests, sale of all or substantially all assets, or otherwise).Subject to the foregoing, these Terms of SPS will be binding upon and inure to the benefit of the Parties hereto and their permitted successors and assigns.

No failure or delay by either Party in exercising any right or remedy under these Terms of SPS will operate, or be deemed to operate, as a waiver of any such right or remedy.

If you have any complaints, feedback, or questions, please contact our Support Service at support@simpleswap.io. When you contact us, please provide Us with your name, email address, and any other information we may need to identify you, as well as the transaction on which you have feedback, questions, or complaints.

If any provision of these Terms of SPS is found invalid or unenforceable by a court of competent jurisdiction, that provision will be amended to achieve as nearly as possible the same economic effect as the original provision, and the remainder of these Terms of SPS will remain in full force and effect. Any provision of these Terms of SPS, which is unenforceable in any jurisdiction, will be ineffective only as to that jurisdiction, and only to the extent of such unenforceability, without invalidating the remaining provisions hereof.

Except for user’s obligations to pay any Fees and other amounts due, neither Party will be in breach of these Terms of SPS for any failure or delay in performance caused by reasons beyond its reasonable control, including, but not limited to, acts of God, acts of any governmental body, war, insurrection, sabotage, armed conflict, terrorism, embargo, fire, flood, strike or other labour disturbance, unavailability of or interruption or delay in telecommunications or third-party services, or malware attacks or hackers.

No provision of these Terms of SPS is intended to confer any rights, benefits, remedies, obligations, or liabilities hereunder upon any third party.

SimpleSwap may at its sole discretion modify this Terms of SPS from time to time. Any changes will be posted through the Platform and the valid version of the Terms of SPS will indicate the date it was last updated. The changes will become effective immediately after posting. By continuing to use the Service you are deemed to have accepted any updated terms. If you do not agree to the updated Terms of SPS you must notify us and discontinue using the Service.
